This agreement is between Cortexa LLC and [your full name].
1. Purpose and appointment
1.1 Cortexa LLC, a company registered in the Sharjah Media City Free Zone (Shams) under trade licence 2648291.01, with its registered office at Shams Business Center, Al Messaned, Sharjah, United Arab Emirates ("Cortexa", "we", "us"), provides a WhatsApp-based inventory assistant to real estate professionals — including brokers, brokerage staff, sales and marketing personnel, and agents — in the United Arab Emirates and abroad, on a monthly subscription. In this Agreement, "broker" means any such subscriber, and the person named on the signature page is the "Partner" ("you").
1.2 Subscribers are responsible for holding any licence, registration or authorisation that their own jurisdiction requires for the activities they carry out. Cortexa does not verify licensing, and the service provides property information only — it does not constitute regulated advice, valuation or brokerage.
1.3 Cortexa appoints the Partner on a non-exclusive basis to introduce brokers to the Cortexa service, and the Partner accepts that appointment on the terms set out in this Agreement.
1.4 This is a commission-only referral arrangement. It does not create employment, agency, partnership or joint venture between the parties. The Partner has no authority to bind Cortexa, to make representations on its behalf, or to negotiate price or contract terms with any broker.
2. Referral code and attribution
2.1 On approval and completion of onboarding, Cortexa will issue the Partner a unique referral code and sign-up link.
2.2 A broker is attributed to the Partner when the Partner's referral code is present at the moment that broker submits the Cortexa sign-up form.
2.3 Referral codes are optional for brokers. A broker who signs up without a code is not attributed to any partner, and no commission is payable on that broker to anyone. It is the Partner's responsibility to ensure introduced brokers use the Partner's link or code.
2.4 The following are not eligible for attribution: brokers already subscribed to Cortexa; brokers already attributed to another partner, including a lapsed broker still within another partner's reattribution window under clause 4.
3. Commission
Rate: 20% of the subscription fee actually collected from each attributed broker.
How it is set: commission is always a percentage of what is collected. It is not a fixed amount, and it moves automatically with the subscription price — no amendment to this Agreement is needed when the price changes.
Starts: on the broker's first paid invoice. Free trial periods earn nothing.
Continues: for as long as that broker remains subscribed and paying, and this Agreement remains in force. There is no time limit and no cut-off month.
Basis: collected payments only — not sign-ups, not trials, not invoices raised but unpaid.
3.1 Commission is calculated monthly, in respect of the preceding calendar month.
3.2 Cortexa offers new brokers a free trial period before the first payment is taken. The current trial length is published at cortexa.ae and may be varied by Cortexa. No commission accrues during a trial, in respect of any broker, however long the trial period is.
3.3 For illustration only: at the subscription price published at the date of this Agreement (AED 199 per month), 20% amounts to approximately AED 39.80 per active attributed broker per month. This figure is indicative, is stated for the Partner's convenience, and is not a term of this Agreement. The operative term is the percentage above.
3.4 Refunds and chargebacks arising within 30 days of a payment are deducted from the Partner's commission for the period in which they occur.
3.5 Cortexa may change the subscription price at any time without notice to the Partner, and the commission payable adjusts accordingly as a percentage of the new price. Cortexa may change the commission percentage itself on not less than 30 days' written notice (an email or WhatsApp message to the Partner's registered address or number counts as written notice). A change to the percentage is not applied retroactively to commission already earned.
4. Cancellation, rejoining and reattribution
4.1 If an attributed broker cancels, commission ceases for the periods in which that broker does not pay.
4.2 Rejoining within 90 days. If the broker resubscribes within 90 days of the end of the period they last paid for, they remain attributed to the Partner and commission resumes automatically. This applies whether or not the broker enters a referral code on rejoining, and whether or not they enter a different partner's code.
4.3 Rejoining after 90 days. Attribution expires. If the broker then rejoins using another partner's code, that partner earns the commission from that point. If they rejoin without a code, no commission is payable to anyone.
4.4 Cortexa makes available to the Partner, through the partner dashboard, the name, company and subscription status of every broker attributed to the Partner, including notice of cancellation. For a broker whose subscription is not active — on trial, cancelled, lapsed or with a failed payment — the dashboard also shows that broker's mobile number and email address, so that the Partner may seek to re-engage them within the window in clause 4.2. For a broker whose subscription is active, no contact details are shown.
5. Payment
5.1 Commission is paid monthly by bank transfer to the account nominated by the Partner, against a statement issued by Cortexa.
5.2 Before the first payment, the Partner must complete identity verification and provide bank account details. The identity document uploaded with this Agreement, and its expiry date, form part of that verification; Cortexa may ask for a renewed document when it expires. Cortexa is entitled to withhold payment until verification is complete.
5.3 The Partner is responsible for their own tax obligations arising from commission received, and warrants they are legally permitted to receive commission income in their jurisdiction.
6. Partner obligations
6.1 The Partner shall not: (a) send unsolicited bulk messages, spam, or any communication that breaches the policies of WhatsApp, Meta, or any other platform, when promoting Cortexa; (b) make any representation about Cortexa's features, pricing, availability or performance that is inaccurate or that Cortexa has not authorised in writing; (c) hold themselves out as an employee, agent or representative of Cortexa; (d) create, or arrange the creation of, accounts for the purpose of generating commission artificially; (e) earn commission on their own subscription, or on any subscription registered to the Partner's own phone number or email address.
6.2 Breach of clause 6.1 or clause 8.1 entitles Cortexa to terminate this Agreement immediately. Cortexa may withhold commission otherwise payable and set it off against loss arising from the breach.
7. Confidentiality
7.1 The commercial terms of this Agreement, including the commission percentage, and any non-public information about Cortexa's pricing, product, broker base, developer relationships or business plans, are confidential.
7.2 The Partner shall not disclose that information to any third party, including to brokers, during this Agreement or after it ends.
7.3 Broker data made available to the Partner under clause 4.4 may be used solely to service and re-engage brokers attributed to the Partner. It may not be sold, shared, exported for other purposes, or used to promote any other product. This restriction continues after this Agreement ends.
8. Competing activity
8.1 While this Agreement is in force, the Partner shall not, directly or indirectly, develop, launch, own, operate, invest in, work for or advise any product, service or business that provides property inventory information to real estate professionals in competition with Cortexa — through any channel, and whether or not delivered via WhatsApp. This applies equally to any company the Partner controls and to any arrangement made through a family member, associate or nominee.
8.2 This restriction applies during the term of this Agreement only. Once this Agreement ends, the Partner is free to compete, subject always to clause 7.
8.3 If Cortexa finds that the Partner has started or is engaged in competing activity in breach of clause 8.1, this Agreement terminates with immediate effect and all commission not yet paid — whether already accrued or that would otherwise become eligible in the future, on any broker attributed to the Partner — becomes null and void and ceases to be payable. The Partner accepts this as the agreed commercial consequence of the breach, and not as a penalty.
8.4 A Partner who wishes to begin competing activity must first terminate this Agreement under clause 10.2. On termination, commission ceases to accrue on every broker attributed to them, including brokers who remain subscribed and paying.
9. Data protection
9.1 Each party shall comply with applicable data protection law in respect of personal data handled under this Agreement, including the law of the United Arab Emirates and any other data protection law applicable to that party.
9.2 The Partner acknowledges that broker contact details received under clause 4.4 are personal data and shall protect them accordingly.
10. Term and termination
10.1 This Agreement begins on the date of signature and continues until terminated.
10.2 Either party may terminate on 30 days' written notice. Cortexa may terminate immediately for breach of clause 6.1 or clause 8.1.
10.3 On termination, commission earned before the termination date is paid in the normal cycle, except where clause 8.3 applies. Commission stops accruing from the termination date, including on brokers previously attributed to the Partner who remain subscribed and paying.
10.4 Cortexa may suspend the Partner's dashboard access while a question about the Partner's account or compliance is resolved, or until the Partner has signed the current version of this Agreement; commission continues to accrue during a suspension unless clause 8.3 applies.
10.5 Clauses 7, 8.3, 10.3, 11 and 12 survive termination.
11. Liability
11.1 Cortexa's total liability under this Agreement is limited to commission properly due and unpaid at the date the claim arises.
11.2 Neither party is liable for indirect or consequential loss, or for loss of profit, business opportunity or anticipated commission.
12. General
12.1 This Agreement is the entire agreement between the parties on this subject and replaces any earlier discussion, understanding or version of this Agreement.
12.2 Any variation must be in writing and signed by both parties, except a change to the subscription price or the commission percentage made under clause 3.5.
12.3 The Partner may not assign this Agreement without Cortexa's written consent.
12.4 This Agreement is governed by the laws of the United Arab Emirates, and the courts of the Emirate of Sharjah have jurisdiction.
12.5 If any provision of this Agreement is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed if that is not possible. The remainder of this Agreement continues in full force.
12.6 Electronic signature. The Partner signs this Agreement electronically on cortexa.ae by entering their name and ticking the acceptance box, and agrees that this has the same effect as a handwritten signature. Cortexa keeps a copy of the signed Agreement with the Partner's name, email address, mobile number, uploaded identity document and its expiry date, and the date, time and network address of signing, and will send the Partner a copy on request. Cortexa countersigns on approval; until then the signed Agreement is the Partner's application under clause 2.1.
