Partner program terms

Draft for review. Two things before you use this: (1) do not sign partner agreements until Cortexa LLC is legally registered, and (2) have a lawyer draft clause 9, the non-compete — restraint-of-trade clauses are only enforceable if the scope, duration and geography are drawn correctly, and a template will not hold when you need it to.

1. What this is

The Cortexa Partner Program lets approved partners earn commission by introducing brokers who subscribe to Cortexa. It is a commission-only arrangement between independent parties. It is not employment, and it does not create a partnership, agency or joint venture.

2. Joining

  • Partners are approved at our discretion.
  • On approval you receive a unique referral code and sign-up link.
  • You must be legally permitted to earn commission income in your jurisdiction. You are responsible for your own tax.

3. How commission is earned

  • A broker is attributed to you when your referral code is present at the moment they submit the sign-up form. Referral codes are optional — a broker signing up without one is not attributed to anyone.
  • Commission is 20% of the subscription fee actually collected from each attributed broker.
  • At the current price of AED 149 per month, that is AED 29.80 per active broker per month.
  • Commission begins on the broker's first paid invoice. Trials earn nothing.
  • Commission continues for as long as that broker remains subscribed. There is no cut-off period.

4. Cancellation, rejoining, and the 3-month window

If an attributed broker cancels, commission stops for the periods they do not pay. What happens to the attribution itself depends on when they come back.

Rejoining within 3 months of cancelling

The broker remains attributed to you, and your commission resumes automatically. This holds regardless of whether they enter a referral code on rejoining, and regardless of whose code it is — during this window the original attribution takes precedence and any different code entered is disregarded.

This window exists so that the work of winning a lapsed broker back is worth doing. Your dashboard shows cancelled brokers, their contact number, and how long remains on the window.

Rejoining after 3 months

The original attribution expires and is not restored. The broker's account is then open to attribution again:

  • If they rejoin using a different partner's code, that partner earns the commission from then on.
  • If they rejoin using your code again, you are re-attributed and earn from then on.
  • If they rejoin without any code, no commission is payable to anyone.

The window runs from the cancellation date, not from the last payment date.

Referral codes are optional

Brokers are not required to enter a referral code to sign up. A broker who signs up without one is not attributed to any partner, and no commission is payable on that account to anyone.

5. What is not eligible

  • Self-referral. You cannot earn commission on your own subscription, or on a subscription registered to your own phone number or email address.
  • Brokers who signed up without your code present at submission.
  • Brokers already subscribed, or already attributed to another partner (including a lapsed broker still inside another partner's 3-month window).
  • Invoices that are unpaid, refunded, or charged back.

6. Payment

  • Commission is calculated monthly for the preceding calendar month.
  • Statements are available in your partner dashboard.
  • Payment is made to your nominated account after the statement is approved.
  • Refunds or chargebacks within 30 days of a payment are deducted from your next statement.

7. Conduct

You agree not to:

  • Misrepresent Cortexa's pricing, features or performance
  • Make guarantees about results we have not published
  • Use spam, bulk unsolicited messaging, or paid search on our brand name
  • Register subscriptions on someone's behalf without their knowledge
  • Create accounts to generate commission artificially

Breach of this section may end your participation and forfeit unpaid commission.

8. Broker data shared with you

To let you manage your book, we share the name, company, subscription status and join date of brokers attributed to you — and, where a broker has cancelled, their WhatsApp number so you can contact them about resubscribing.

This data is provided for that purpose only. You must not use it for any other marketing, sell or pass it on, or retain it after leaving the program. Brokers are told about this sharing in our privacy policy and may opt out.

9. Non-compete

To be drafted with legal counsel. The intended scope is a 2-year restriction on promoting directly competing WhatsApp-based property assistant products to brokers introduced through this program. Do not publish or rely on placeholder wording here.

10. Changing or ending the program

  • We may change the commission rate with at least 60 days' written notice. Changes are not applied retroactively to commission already earned.
  • Either party may end the arrangement with 30 days' written notice.
  • Commission earned before termination is paid in the normal cycle.
  • Commission stops accruing on termination.

11. Governing law

These terms are governed by the laws of the United Arab Emirates, and the courts of [EMIRATE] have jurisdiction.
